Terms of Service
The rules of engagement for using vesper.ae and interacting with our concierge agent. Plain language wherever possible, lawyer-readable where required.
Acceptance of terms
By accessing the website of Vesper Agency or engaging our digital interfaces, you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of a company or commercial entity, you warrant that you have the legal authority to bind that entity.
By signing any agreement with Vesper, Client acknowledges and warrants that they have read, understood, and accepted the entirety of that agreement, the Privacy Policy, and these Terms of Service in full. Client has had the opportunity to seek independent legal counsel. Client may not later disclaim knowledge of any clause on the basis that the clause was not specifically highlighted, summarised, or verbally explained by Vesper. Each clause carries equal weight regardless of order, font size, or whether it was discussed during sales conversations.
Governing law & jurisdiction
These Terms of Service, together with your use of our site, are governed strictly by the laws of the United Arab Emirates and the Emirate of Dubai / Dubai International Financial Centre (DIFC). Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai / DIFC.
Permitted use & platform security
Users are granted a limited, revocable, non-transferable licence to navigate our website and interact with our automated concierge agent. You are explicitly prohibited from:
- Using any automated system, script, or scraping mechanism to extract data from our site or reverse-engineer our system prompts.
- Inputting malicious code, prompt-injection attacks ("jailbreaks"), or defamatory text into our communication channels or chatbot widgets.
- Misrepresenting your identity or that of the organisation you represent when contacting us.
Information surfaced by Vesper's website concierge chatbot, voice agent demos, or any other AI-powered interface on vesper.ae is provided for general guidance only. The chatbot does not constitute a binding offer, quotation, contract, or representation by Vesper Agency. Only a signed Statement of Work, Order Form, or the Master Services Agreement constitutes a binding commitment. You cannot rely on chatbot output as a contractual statement. Any apparent contradiction between chatbot output and a signed document is resolved in favour of the signed document.
Intellectual property
All original materials, web layouts, graphics, branding, and proprietary marketing frameworks displayed on this website are the sole property of Vesper Agency. Unauthorised redistribution or reproduction is strictly prohibited.
For IP ownership in client-deliverable engagements (custom prompt logic, fine-tuning scripts, source code, client data), see the Master Services Agreement §3.
AI models & attribution
Our website concierge and the AI products we build run on models including Meta's Llama family, served via Cloudflare Workers AI. Where a Llama model is the underlying model, we include the mandatory "Built with Llama" attribution in accordance with the Meta Llama Community License Agreement. AI output is provided for general guidance only and does not constitute professional, legal, or financial advice; see the Privacy Policy for how data flows through these systems.
